Terms of Service

1. Agreement to Terms

BidSimple (“the Service”) is operated by Epoche Technical Solutions, LLC (“we,” “us,” “our”). By creating an account or using the Service, you agree to these Terms of Service. If you do not agree, do not use the Service.

2. The Service

BidSimple generates business documents — proposals, contracts, statements of work, and quotes — using artificial intelligence, based on information you provide. The Service also lets you share documents with your clients, collect electronic signatures, and export documents as PDFs.

AI-generated content is a starting point, not a finished legal product. You are solely responsible for reviewing, editing, and approving every document before sending it to a client. We do not provide legal advice, and nothing produced by the Service constitutes legal advice. For contracts with legal significance, we recommend review by a qualified attorney.

3. Accounts

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity under your account. Agency-plan account owners may invite team members; the owner is responsible for their team members' use of the Service.

4. Subscriptions and Billing

Paid plans (Solo $29/month, Agency $79/month) are billed monthly through Stripe. Subscriptions renew automatically until cancelled. You can cancel at any time via Settings → Billing; cancellation takes effect at the end of the current billing period. The free tier is limited to two documents per calendar month.

We may change pricing with at least 30 days' notice. Fees are non-refundable except where required by law.

5. Electronic Signatures

The Service provides electronic signature functionality intended to comply with the U.S. ESIGN Act, including typed-name signatures with explicit consent and an audit trail. The enforceability of any signed document depends on its content, the parties, and applicable law — which we do not control. You and your clients are responsible for ensuring that electronic signature is appropriate for a given document and jurisdiction.

Once a document is signed by a client, it is locked from further editing.

6. Your Content

You retain all rights to the information you provide and the documents you generate. You grant us a limited license to store and process your content solely to operate the Service — including sending document content to our AI provider to generate output on your behalf.

You are responsible for the content of your documents and for having the right to use any client information you enter.

7. Acceptable Use

You may not use the Service to create fraudulent, deceptive, or unlawful documents; to infringe others' rights; to attempt unauthorized access to the Service or its data; or to resell the Service without our written permission.

8. Termination

You may delete your account at any time via Settings → Billing → Danger zone, which permanently deletes your data and cancels any active subscription. We may suspend or terminate accounts that violate these Terms. Deals created by a team member under an Agency account are transferred to the account owner if the member's account is deleted.

9. Disclaimers and Limitation of Liability

The Service is provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose. We do not warrant that AI-generated content is accurate, complete, or suitable for your purposes.

To the maximum extent permitted by law, our total liability for any claim arising out of the Service is limited to the amounts you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost business arising from documents created with the Service.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced via the email address on your account or a notice in the Service. Continued use after changes take effect constitutes acceptance.
